Lunchseminarium: Assessing the separation of ownership and control: What has been lost, can be regained

Contemporary advanced political economies in general and economic organisations in particular are increasingly being characterised as financialized, where scholars from various fields bring to our attention that corporate governance as the separation of ownership and control is at the core of this development. We suggest that the dominant theory addressing this relationship (agency theory) can be understood and conceptualised as being performed.

The purpose of this paper is therefore to assess and reactivate various constructs of the corporation and its inherent theories in a historical review of legal studies focusing on the inception and elaboration of the corporation during the period 1800-1900 in order to conceptualise the corporation and its inherent theory of the firm differently. Our assessment leads us to conclude that the financialized theory of the firm not only enables the performing of contemporary financialization but also changes the corporation and personhood. Based on these findings, we propose a new radical research agenda grounded in a movement towards a return of a socio-political understanding of the corporation.
